These Terms of Use contain the terms and conditions for the use of the software platform developed by Efact Software Ltda. (“Web Factory 4.0”), which offers professionals and companies a system that enables real-time production management via the internet, as well as: machine management, Andon and data collection.

These Terms of Use are valid for any information, texts, images and other materials, that is, any content that is uploaded, downloaded or linked to the Services offered by Web Factory 4.0.

ACCEPTANCE OF THESE TERMS OF USE IS ESSENTIAL TO THE USE OF THE SITE AND THE SERVICES OFFERED BY THE PLATFORM. ALL USERS MUST READ THESE TERMS OF USE, UNDERSTAND THEM AND ACCEPT THEM, AFTER ALL, THE USE OF THE SITE AND THE PLATFORM IMPLIES FULL ACCEPTANCE OF THESE TERMS OF USE. 1. Services

1.1. The Services are offered through the Platform, which is found on the Website and operates via an Internet connection. The features available to the User through the Platform vary according to the plan chosen.

2. Registration

2.1. To contract the Services, the User must register in advance and voluntarily provide information about themselves, such as: name, surname, email, Login, password, identity document, Social Security Number (SSN), name of company you are part of, employer identification number (EIN), educational institution, landline, cell phone, date of birth, address and other necessary information (the “Personal Information”). The User declares that the Personal Information provided is faithful and truthful and undertakes to keep their data always up to date. Efact Software Ltda. is not responsible for the information provided, but reserves the right to verify, at any time, the veracity of such information and request, at its sole discretion, the supporting documentation it deems necessary to properly prove the information. provided. If Efact Software Ltda. detects any account made using false information, the User's registration will be automatically canceled so that the User will no longer have access to the use of the Website and any Service, and for this reason the User will not receive any type of compensation or compensation.

2.2. The account holder and administrator will be the one defined at the time of registration, based on the data provided by the User (“Administrator User”). The account is personal and can only be accessed using the login and password created by the User at the time of registration, being the sole and exclusive responsible for maintaining the confidentiality of their login and password, in order to guarantee the security of their account. and prevent unauthorized access by third parties. The User is solely responsible for all activities associated with their account. In case of loss or suspected misuse of your account, login or password, Efact Software Ltda. must be communicated immediately so that appropriate measures can be taken. If duplicate accounts are verified, Efact Software Ltda. may permanently disable all duplicate registrations, regardless of any prior notification.

3. Subscription Plans

3.1. The Services may be contracted by subscribing to a plan by the User (the “Subscription”). Efact Software Ltda. offers plans that can be chosen at the User’s discretion:

• (I) Free Plan: guarantees User access to all the basic features of the Platform such as: 01 machine, 01 Andon, 01 Collector. Subscription to this Free Plan allows the account administrator User (the “Administrator User”) the possibility of carrying out additional registrations so that other people authorized by the Administrator User can have access to the Platform (the “Registered Users”), in accordance with the Plan user limit Due to the availability of a limited number of additional registrations, the Free Plan User is aware that some Platform functionalities available in other plans will not be made available to them, thereby exempting Efact Software Ltda. of any liability in this regard.

• (II) Bronze Plan: guarantees User access to a set of features, upon payment of a monthly amount. The features are: 5 machines, 3 Andons, 5 Collectors. Subscription to this Paid Plan allows the Account Administrator User the possibility of carrying out additional registrations so that other Registered Users can have access to the account. In this case, the number of additional registrations will be limited to the number provided for in the Subscription purchased by the Administrator User. Additional registrations may be added during the contractual term at the price in effect at the time of acquisition, prorated for the remainder of the current contract term.

• (III) Silver Plan: guarantees User access to a set of features, upon payment of a monthly amount. The features are: 10 machines, 5 Andons, 10 Collectors. In this case, the Services will be contracted upon signature, by Efact Software Ltda. and the User, of a contract for the provision of personalized services, which will contain, among other information, a description of the Services that will be provided by Efact Software Ltda. and its specificities, the obligations of Efact Software Ltda. and the User, term of validity, amounts and payment methods, fine for non-compliance or breach of contract, terms of civil liability, intellectual property, secrecy, in short, everything that the parties stipulate consensually.

• (IV) Gold Plan: guarantees User access to a set of features, upon payment of a monthly amount. The features are: 20 machines, 10 Andons, 20 Collectors. In this case, the Services will be contracted upon subscription, by Efact Software Ltda. and User, of a contract for the provision of personalized services, which will contain, among other information, a description of the Services that will be provided by Efact Software Ltda. and its specificities, the obligations of Efact Software Ltda. and the User, term of validity, amounts and payment methods, fine for non-compliance or breach of contract, terms of civil liability, intellectual property, secrecy, in short, everything that the parties stipulate consensually.

• (V) Diamond Plan: guarantees User access to a set of features, upon payment of a monthly amount. The features are: Unlimited machines, Unlimited Andons, Unlimited Collectors. In this case, the Services will be contracted upon subscription, by Efact Software Ltda. and User, of a contract for the provision of personalized services, which will contain, among other information, a description of the Services that will be provided by Efact Software Ltda. and its specificities, the obligations of Efact Software Ltda. and the User, term of validity, amounts and payment methods, fine for non-compliance or breach of contract, terms of civil liability, intellectual property, secrecy, in short, everything that the parties stipulate consensually.

3.2. The Administrator User is solely responsible for allowing Registered Users access to the account, as well as being the only one who has control over Registered Users' access. If the Registered User wishes to obtain any information about the account, they must contact the Administrator User exclusively. The deactivation of the Registered User, for any reason, is also the sole responsibility of the Administrator User. Efact Software Ltda. does not have any management regarding the access or deactivation of Registered Users.

4. Service Billing (Paid Plan)

4.1. Efact Software Ltda. offers payment option via bank slip or credit card. Transactions are carried out through the payment intermediary platform.

4.3. Once payment is confirmed, the User will receive an email with the invoice and descriptions and instructions of the Service they contacted, if the operation was completed successfully.

4.4. From time to time, we may change our plans and the price of our service. However, any changes made to prices or service plans will only be applied 30 days after notification is sent to the User. Subscription prices may be automatically adjusted every year or more frequently, as permitted by current legislation and according to the General Market Price Index (IGP-M) published by Fundação Getúlio Vargas or another equivalent index applicable to Efact Software Ltda.

5. Cancellation

5.1. SUBSCRIPTION TO THE FREE PLAN AND THE PAID PLAN IS MADE, AT THE USER'S DISCRETION, FOR A PERIOD OF 1 (ONE), 3 (THREE), 6 (SIX) OR 12 (TWELVE) MONTHS. ENDING THIS PERIOD, THE SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED. IF THE USER WISHES TO CANCEL THE SUBSCRIPTION, THEY MUST INFORM THE AGENDA AT LEAST 5 (FIVE) DAYS IN ADVANCE. OTHERWISE, IN CASES OF SUBSCRIPTION TO THE PAID PLAN, THE AMOUNT WILL BE CHARGED TO THE USER.

5.2. The User may withdraw from contracting the Services within 7 (seven) days from the Subscription (the “Reflection Period”), and all amounts eventually paid, in any capacity, during this period, will be returned to the User in full. .

5.3. If the User wishes to cancel the Subscription after the Reflection Period, the User may do so at any time without being charged a fine. To do so, the User must contact Efact Software Ltda. and request cancellation, being able to request, within a period of 30 (thirty) days from the date of payment, the refund of the last monthly fee paid to Efact Software Ltda. in an amount proportional to the period in which the Services were not provided due to the cancellation, provided that Efact Software Ltda. will retain all amounts relating to taxation, payment intermediation fees and transfer fees that may be incurred.

5.4. The User is aware that when canceling the Subscription and/or undoing their registration, the action is irreversible and all their Personal Information, as well as all the content inserted on the Platform will be deleted, and it will not be possible to recover any information lost by Efact Software Ltda ., under no circumstances, may it be held responsible for any damage arising from the cancellation of the Subscription and/or deactivation of the registration. 5.5. Efact Software Ltda. reserves the right to suspend or cancel, at any time, any User's access to the Platform in the event of proven fraud, obtaining a benefit or advantage illegally or due to non-compliance with any of the conditions of these Terms of Use. In these cases , no compensation will be owed to the User, and Efact Software Ltda. promote competent return action, if necessary, as well as any other measures necessary to pursue and protect your interests.

6. Responsibilities of Efact Software Ltda.

6.1. Efact Software Ltda. guarantees that, except as provided for in these Terms of Use, the Platform will operate 24 (twenty-four) hours a day, 7 (seven) days a week, including holidays, and must provide full access and operation conditions for at least 95 % (ninety-five percent) of the time. If errors are detected in the use of the Platform or difficulties in accessing it, the Efact Software Ltda support center will contact you. must be communicated via telephone (51) 3029-6552 or via email at efact@efact.com.br (“Support Center”). The Support Center will be available from Monday to Friday, from 9am to 5pm (UTC -3), except local, state and national holidays.

6.2. Efact Software Ltda. will also offer basic support to the User regarding the Services, which involves clarifying doubts regarding the use of the Platform, as well as available plans, prices, possible problems regarding payments and errors arising from the Platform itself. The provision of specialized support must be agreed between Efact Software Ltda. and the User in a separate document, which will imply an additional cost defined in due course to be paid by the requesting User.

6.3. Efact Software Ltda. reserves the right to modify, suspend or temporarily discontinue the functionalities available on the Platform to carry out maintenance, updates and configuration adjustments of the Platform. Efact Software Ltda. will not be responsible, under any circumstances, for any losses or damages, including lost profits, related to the suspension of access to the Platform.

6.4. Efact Software Ltda. uses third-party services to keep the Website and Platform functioning, and failures may occur in such services. Efact Software Ltda. will not be responsible for any losses or damages arising from the failure of the services of these third parties.

6.5. Efact Software Ltda. is not responsible for access failures to the Platform resulting from circumstances beyond the will and control of Efact Software Ltda., including, without limitation, internet failures in general, power outages, electronic and/or physical malfunction of any telecommunications network , connection interruptions or suspensions and failures in the software and/or hardware used by Users, as well as scheduled outages for maintenance, updates and configuration adjustments of the Platform.

6.6. The Website and Platform may contain links or links to third party websites or services that are neither owned nor controlled by Efact Software Ltda., so Efact Software Ltda. does not assume any responsibility for the content, accuracy, policies, practices, opinions expressed on any such third-party websites or by any third party that the User interacts with through the Platform or the Site. Efact Software Ltda. suggests that the User read the terms of use and privacy policies of each third-party website or service that the User visits or uses.

6.7. No functionality of the Platform should be understood as advice or consultancy regarding the activities carried out by Users. Efact Software Ltda. does not guarantee Users any commercial results and will not be responsible for the development of their business or resulting consequences.

6.8. Efact Software Ltda. is also not responsible for undone or undone deals, breaches of contracts, in short, for any lack of interest in formalizing deals between Users and their customers under the allegation that there was privileged information from a third party through Efact Software Ltda.

7. User Responsibilities

7.1. The User's responsibilities are:

• (I) use the Website and the Platform appropriately and diligently, in accordance with these Terms of Use, the law, morals, good customs and public order;

• (II) keep the environment of your devices accessing the Website and Platform safe, using specific tools for this purpose, such as antivirus, firewall, among others, in order to contribute to the prevention of electronic risks;

• (III) use updated and efficient operating systems to fully use the Platform

• (IV) equip and be responsible for the hardware devices necessary to access the Website and the Platform, as well as their access to the Internet;

• (V) not maliciously exploit the security of the Website and the Platform to carry out illegal acts, prohibited by law and these Terms of Use, harmful to the rights and interests of third parties, or which, in any way, may damage, render unusable, overload or deteriorate the Website and the Platform, as well as the computer equipment of other Users or other Internet users (hardware and software), as well as the documents, files and all content stored on their devices or prevent the normal use or enjoyment of the Website , the Platform and the Services;

7.2. The User declares and guarantees that all content inserted by him on the Platform:

Any damage caused by the User to Efact Software Ltda. or to third parties due to non-compliance with the obligations set out here or the non-veracity of the guarantees declared here will be repaired exclusively by the User causing the damage, with no need to speak of subsidiarity of the obligation, nor of solidarity on the part of Efact Software Ltda.

8. Intellectual Property

8.1. Subject to these Terms of Use, Efact Software Ltda. grants the User a limited, temporary, non-exclusive and non-transferable license to use the Platform and the Website only to the extent strictly necessary to fulfill the obligations and enjoy the rights set out in these Terms of Use.

8.2. All rights relating to the Website and the Platform, as well as its functionalities, are owned by Efact Software Ltda., including all intellectual property rights related to its texts, images, graphics, brands, layouts, codes , databases and other content produced directly or indirectly by Efact Software Ltda. (“Intellectual Property Rights”). The misuse of any content or brand presented on the Website and Platform is expressly prohibited.

8.3. Intellectual Property Rights are protected by copyright and industrial property laws. Any suggestion, request for improvements, recommendations or other ideas provided by the User to Efact Software Ltda., related to the functioning of the Platform, will not grant the User any right of ownership over the functionalities eventually implemented by Efact Software Ltda., so that the User will not have any right of retention, use or compensation.

9. Amendment of these Terms of Use

9.1. Efact Software Ltda. is always making updates to improve the Platform’s functionalities. For this reason, these Terms of Use may be changed, at any time and at the sole discretion of Efact Software Ltda., in order to reflect adjustments made to the Platform. Whenever any modification occurs to these Terms of Use, Efact Software Ltda. will send an email to the User indicating the date on which said change will come into effect and will ask the User to accept the new provisions. If the User does not agree with the new provisions of the Terms of Use, the User may, at its sole discretion, reject them, but, unfortunately, this means that the User will no longer be able to access the Platform and make use of its features. If the User continues to use the Platform, even after the Terms of Use have been changed, this means that the User agrees to all modifications.

10. Other Provisions.

10.1. These Terms of Use do not create any other type of relationship between Users and Efact Software Ltda., including, without limitation, company, joint venture, mandate, representation, partnership, consortium, association, formation of an economic group, employment relationship or similar. Efact Software Ltda. will remain an independent and autonomous entity.

10.2. Efact Software Ltda. may assign the rights and obligations relating to these Terms of Use to companies in the same economic or corporate group, through simple written communication to the User.

10.3. The omission or tolerance of Efact Software Ltda. demanding strict compliance with the terms and conditions defined here will not, under any circumstances, constitute a novation or waiver, nor will it prevent Efact Software Ltda. covers these rights at any time.
